BOI – Customer Terms & Conditions

1. Overview

Bureau of Innovation PTE. LTD, trading as The BOI (“BOI”, “we”, “our”, or “us”), curates and represents independent designers and artists (“Designers”) internationally.

When you purchase through BOI, you are buying directly from the Designer. BOI acts as a curatorial representative and payment intermediary, not as the seller of record.

By placing an order or making payment to BOI, you agree to these Terms & Conditions (“Terms”).

2. The Role of BOI

BOI curates, promotes, and facilitates the sale of original works of design and art (“Works”) on behalf of the Designers we represent.

• BOI does not manufacture, own, or sell any Works.
• All sales contracts are made directly between you (the Client) and the Designer.
• BOI’s role is limited to providing curated introductions, facilitating payments, and coordinating logistics on the Designer’s behalf.

3. The Works

All Works available through BOI are handmade, limited-edition, or made-to-order pieces. Natural variations in colour, texture, or finish are inherent to the artisanal process and are part of each Work’s unique character. These are not considered defects.

4. Ordering & Payment

4.1 How to Order

Orders may be confirmed via written quotation, email, or invoice issued by BOI on behalf of the Designer.

4.2 Payment Terms

• Made-to-order Works: A 50% deposit is required to begin production. The balance (plus any taxes, duties, and shipping fees) must be paid in full before dispatch.
• In-stock Works: Full payment is due at confirmation.
• All payments are collected by BOI as a payment intermediary and remitted to the Designer once funds are cleared.

4.3 Currency & Transfer Fees

Payments must be made in the currency stated on the invoice. Any associated transfer or conversion fees are the Client’s responsibility.

5. Taxes, Duties & Import Responsibilities

• All prices are exclusive of VAT, GST, customs duties, and local taxes unless stated otherwise.
• The Client acts as importer of record and is responsible for paying any duties or import taxes directly to the shipping carrier or customs authority.
• BOI and the Designer are not responsible for any customs delays or local regulatory fees.

6. Production, Delivery & Risk

• Estimated lead times are provided at order confirmation and may vary due to the handmade nature of the Works.
• BOI coordinates shipping and insurance on behalf of the Designer.
• Risk of loss or damage transfers to the Client once the Work is handed to the carrier.
• The Client must inspect the Work upon delivery and report any visible damage within 48 hours of receipt.

7. Cancellations & Returns

• Made-to-order Works cannot be cancelled, exchanged, or refunded once production has commenced.
• In-stock Works may be cancelled before shipment only with written approval.
• All sales are final once the Work has shipped.

8. Warranties & Authenticity

• Each Designer is solely responsible for the quality, safety, and workmanship of their Work.
• BOI does not provide any express or implied warranties regarding a Work’s durability, materials, or suitability for use.
• Certificates of authenticity are provided by the Designer or BOI as applicable.

9. Liability

To the fullest extent permitted by law:

• BOI shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, reputation, or business).
• BOI’s total aggregate liability under any claim shall not exceed USD 1,000.
• BOI is not responsible for any act, omission, or misrepresentation by the Designer, shipper, or third-party supplier.
• BOI’s role is strictly limited to acting as intermediary between Client and Designer.

10. Intellectual Property

All content published on BOI’s website, catalogues, and digital channels (including text, images, designs, and trademarks) is the intellectual property of BOI or its respective Designers. You may not reproduce or distribute any such material without prior written permission.

11. Privacy

We respect your privacy and handle all personal data in accordance with applicable data protection laws. Information collected during enquiries or purchases is used solely for order processing, communication, and fulfilment.

12. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of the UAE.
